B2B – BUSINESS CUSTOMERS
The following conditions apply to all deliveries and services provided by dna merch in the field of textile printing or wholesale of unprinted textiles, unless mandatory statutory provisions provide otherwise or something different has been expressly agreed in writing. Should any individual provision prove invalid, the validity of the remaining provisions shall not be affected. Conflicting terms and conditions of the client shall not apply, even if we have not expressly objected to them. Any deviating or supplementary agreements require the express written consent of dna merch.
Client within the meaning of these T&Cs refers to natural or legal persons or partnerships with legal capacity who, at the time of concluding a contract with dna merch, are acting in the exercise of their commercial or self-employed professional activity.
1. Offers
All offers issued by dna merch are subject to the underlying order data and are non-binding with regard to price, quantity and delivery time. Minor deviations and technical changes from illustrations and/or descriptions are possible. Orders placed by email are binding. Upon receipt of the order confirmation from dna merch, the order is considered confirmed and obliges the client to accept the goods and transfer the invoice amount in a timely manner.
The order confirmation must be checked carefully; any corrections must be communicated to us without delay. We accept no liability for defects or errors resulting from failure to review the order confirmation.
Samples are only sent or produced upon request and against a delivery note. Approval samples are only produced upon explicit request and at additional cost. Subsequent changes requested by the client, including any resulting costs, will be charged accordingly.
The conclusion of the contract is subject to the reservation that, in the event of incorrect or improper self-supply, we may perform only partially or not at all. In the event of non-availability or only partial availability of the goods, the client will be informed without delay.
2. Payment terms and prices
The prices stated in the offer at the time of the order apply, subject to obvious pricing errors. Unless otherwise agreed, prices include standard packaging plus shipping costs. Individual packaging and assembly solutions will be charged additionally. Surcharges for express shipments will be invoiced to the client. Customs duties, taxes and fees for deliveries outside the EU will also be charged additionally. Offsetting of mutual claims is only permitted with the express written consent of dna merch.
Upon order confirmation, 50 percent of the total price becomes due. The remaining balance is payable immediately upon receipt of delivery.

3. Default of payment
In the event of late payment, interest will be charged at the applicable bank rate. If fulfilment of the payment obligation is jeopardised due to a deterioration in the client's financial circumstances that becomes known after the contract is concluded, dna merch may demand immediate payment of all outstanding invoices, withhold undelivered goods and cease work on ongoing orders. Failure to receive payment releases dna merch from any delivery deadline commitments.
4. Delivery and delivery times (B2B)
Delivery dates may be agreed but must be discussed and confirmed in writing by dna merch. dna merch is not responsible for delays in delivery caused by circumstances beyond its control. Partial deliveries are permitted. Over- or under-deliveries of up to 5 percent of the ordered quantity may not be objected to; the delivered quantity will be invoiced.
Should delivery fail for reasons beyond dna merch's control, dna merch may withdraw from the contract. Any payments already made will be refunded without delay in such cases.
5. Transfer of risk (B2B)
Risk passes to the client upon handover of the goods to the carrier. Any complaints regarding transport damage must be made directly to the carrier within the applicable deadlines.
6. Warranty and returns (B2B)
dna merch ensures that goods are free from material and manufacturing defects at the time of transfer of risk. The client is obliged to inspect the delivered goods immediately upon receipt and to report any defects in writing within 7 days. After this period, the warranty for recognisable defects lapses.
In the event of defective goods and timely notification, dna merch is obliged to provide a replacement delivery or refund of the diminished value. Claims for rescission or damages for consequential loss are excluded. The warranty expires after 6 months. Excluded are defects caused by transport, improper handling or natural wear and tear. Commercially customary or technically unavoidable deviations in quality, colour or design may not be objected to.
Goods produced at the client's specific request are excluded from the right of return. Carriage-unpaid returns will not be accepted. The cancellation period is 3 business days.
7. Print files
A file of at least 300 dpi at the original print size is required for producing a print film. Preferred formats are PSD, JPG, PDF, TIFF and EPS. Where possible, please specify desired print colours according to the Pantone Formula Guide Solid Coated & Solid Uncoated. Minor colour deviations are technically unavoidable even with Pantone specifications and may not be claimed as defects.
Print films and files produced remain the property of dna merch and are stored for up to 12 months for potential repeat orders only upon explicit written request by the client.
8. Retention of title (B2B)
The goods remain the property of dna merch until payment has been made in full. Extended and expanded retention of title applies.
9. Copyright (B2B)
By placing an order, the client confirms that they hold the copyright to the motifs to be printed. The client is solely liable if the execution of their order infringes the rights of third parties, and shall indemnify dna merch against all third-party claims arising from such infringement.
10. Jurisdiction and applicable law (B2B)
The place of jurisdiction for all disputes in connection with the delivery business is Berlin. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
